19.索賠（claim）：

買方憑其委托的檢驗機構出具的檢驗證明書向賣方提出索賠（包括換貨），由此引起的全部費用應由賣方負擔。若賣方收到上述索賠后______天未予答復，則認為賣方已接受買方索賠。

20.遲交貨與罰款（latedeliveryandpenalty）：

21.不可抗力（forcemajeure）：

凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發生上述情況時，賣方應立即通知買方，并在＿＿天內，給買方特快專遞一份由當地民間商會簽發的事故證明書。在此情況下，賣方仍有責任采取一切必要措施加快交貨。如事故延續＿＿天以上，買方有權撤銷合同。

22.爭議的解決（arbitration）：

凡因本合同引起的或與本合同有關的任何爭議應協商解決。若協商不成，應提交中國國際經濟貿易仲裁委員會深圳分會，按照申請時該會當時施行的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

(2) 發貨前，制造廠應對貨物的質量、規格、性能和數量/重量作精密全面 的檢驗，出具檢驗證明書，并說明檢驗的技術數據和結論。貨到目的港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規格和數量/重量進行檢驗，如發現貨物殘損或規格、數量與合同規定不符，除保險公司或輪船公司的責任外，買方得在貨物到達目的港后____日內憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內，如貨物由于設計或制造上的缺陷而發生損壞或品質和性能與合同規定不符時，買方將委托中國商檢局進行檢驗。

19.索賠

買方憑其委托的檢驗機構出具的檢驗證明書向賣方提出索賠(包括換貨)，由此引起的全部費用應由賣方負擔。若賣方收到上述索賠后______天未予答復，則認為賣方已接受買方索賠。

20.遲交貨與罰款

22.爭議的解決

(19) 不可抗力：賣方對由于下列原因而導致不能或暫時不能履行全部或部分合同義務的，不負責任：水災、火災、地震、干旱、戰爭或其他任何在簽約時賣方不能預料、無法控制且不能避免和克服的事件。但賣方因盡快地將所發生的事件通知對方，并應在事件發生后15天內將有關機構出具的不可抗力事件的證明寄交對方。如果不可抗力事件之影響超過120天，雙方應協商合同繼續履行或終止履行的事宜。
